HYPOTHECS
DES HYPOTHEQUES
2
A hypothec, for the purposes of this Law, is a real right attached to a rente
or other claim, by virtue of which one or more of the hereditaments belonging
to a debtor are rendered specially subject to the payment of such rente
or claim, and possession of which confers the following advantages, that is to
say:
2
savoir:
(1) in the case of a liquidation of
the property of a debtor: right of preference, for the payment of his or her
claim or the part thereof remaining due by the insolvent person, on the net
proceeds of the sale of all or any part of the hereditament or hereditaments
charged, which fall into the property subject to liquidation: and this
according to the order of priority of his or her hypothec;
collocation de son hypothèque;
(2) in the case of a décret
or dégrèvement of hypothecated property (except in the case where the
property of the debtor has been declared en désastre): - the right,
according to the order of the hypothec, to constitute himself or herself tenant
of the property en décret or dégrèvement, or to be paid by the
tenant who has accepted that status by virtue of a contract or hypothec of a
later date;
hypothèque d’une date subséquente;
(3) in the event of the property of
the debtor being insufficient to meet all claims: the right to follow any part
of the hypothecated property into the hands of a successor in title, and, even
if the latter is not directly liable to pay the rente or hypothecated
claim, to oblige him or her to pay that which remains due, or to abandon the
property which he or she holds. Renunciation by default or otherwise in a
décret or dégrèvement of a rente or hypothecated claim,
shall have the effect of freeing the hereditaments subject to these various
procedures, both from the rente or claim itself and from the hypothec
attached thereto: but shall not deprive the creditor of the right to follow
other hereditaments, if any, charged in his or her favour, into the hands of a
successor in title of the debtor;
3
In the future, hereditaments alone shall be capable of hypothecation. All
other types of property, whether classified as movable or immovable - subject
to the exceptions resulting from the following Article and the other provisions
of this Law and the Loi (1996) sur l’hypothèque des biens-fonds incorporels -
may not be hypothecated and shall not carry the right to follow the property
into the hands of successors in title, irrespective of any stipulation to the
contrary. Future or contingent property may not in any circumstances be
hypothecated.
3
A l’avenir,
4
This Law does not affect in any way the laws, customs
and practices concerning ships and seagoing vessels, in general.
4
5
Hypothecs
are either legal, judicial or conventional.
5
LEGAL HYPOTHEC
DES HYPOTHEQUES LÉGALES
6
A legal hypothec is that which results from operation of law.
6
L’hypothèque
légale est
celle qui résulte de la loi.
7
(1) A surviving spouse or civil partner has
a hypothec with right of recourse against successors in title over the
matrimonial home or civil partnership home as security for their dower. This
hypothec ranks from the day of the decease of the deceased spouse or civil
partner.
7
(2) If, during a marriage or civil
partnership, a spouse or civil partner makes cession or their property is
adjudged renounced, the surviving spouse or civil partner retains all their
rights without taking proceedings to enforce them; except that, after the death
of a spouse or civil partner who has made cession, as well as in the case of
the dégrèvement of the property of a spouse or civil partner after their death,
the surviving spouse or civil partner cannot claim, by way of dower, the actual
enjoyment of the matrimonial home or civil partnership home – whether it is in
the hands of tenants or other successors in title or is included in the
property undergoing dégrèvement: but the surviving spouse or civil partner is
entitled to franc douaire [dower in money] on the matrimonial home or civil
partnership home.
(2) Si,
(3) In the case of dégrèvement,
after the death of a spouse or civil partner, of the matrimonial home or civil
partnership home subject to the dower of the surviving spouse or civil partner,
the latter must be summoned to appear at the dégrèvement in accordance with
Article 92, and has the right to constitute themselves tenant of the
matrimonial home or civil partnership home according to the order of priority
of their hypothec.
8
(1) Following entry into possession by the
surviving spouse or civil partner of the matrimonial home or civil partnership
home, in the event of dégrèvement of the matrimonial home or civil partnership
home, no procedural step need be taken by the surviving spouse or civil partner
to retain possession of the matrimonial home or civil partnership home.
8
(2) In the case where recourse has
to be had to the property of the deceased spouse or civil partner, entry into
possession, as described above, has the following effects.
suivants.
(3) The surviving spouse or civil
partner retains the enjoyment of the immovable property that constitutes the
dower until the quarter day next falling immediately after the 3 months
following the Court order that recourse be had to the assets: this on paying
the rentes and charges to which the dower is subject – in proportion to the
time elapsed. If the relevant quarter day is 25 March, 24 June or 29 September,
and there is agricultural land as part of the matrimonial home or civil
partnership home, the surviving spouse or civil partner is entitled to retain
possession of them, as well as of the dwelling and out-buildings that they
occupy and use for cultivating that land, until the next Christmas Day: but on
payment of rent or compensation to the person entitled for difference in time.
9
(1) In the event of dégrèvement of any part
of their property, the surviving spouse or civil partner is not required to
take any action to conserve their hypothecary rights, or to take any procedural
step in the dégrèvement, as regards an agreement for franc douaire [dower in
money], regardless of whether the agreement has been registered.
9
(2) On a dégrèvement, the surviving
spouse or civil partner has a preferential right to 3 years’ arrears, from the
date of the Act of the Court ordering the dégrèvement, of their franc douaire
[money in dower] as is apportioned on the hereditaments respectively comprised
in the property undergoing dégrèvement.
(3) In the case of recourse to the
property of a deceased spouse, an agreement for franc douaire is absolutely
void.
absolument nul.

hypothec on each and every one of the hereditaments forming part of his or her
succession: which hypothec shall date from the day of his or her decease,
provided that the formalities prescribed by the Law relative to Hypothecs on
the succession of a Deceased Person, passed by the States on 17 June, 1862, and
confirmed by Order of Her Majesty in Council of the 19 July 1862,[1] shall have been
observed, or that the property of the deceased shall have been put into
liquidation, décret, or dégrèvement before the expiration of the

11

(3) The Judicial Greffier, on
production of such document, shall effect the said cancellation: to which the
creditor must put his or her signature.
(4) If the debt or claim was
extinguished in consideration of a payment made to the hypothecary creditor,
the latter may require the debtor to remit that sum, before giving him or her a
discharge.
(5) Any hypothecary creditor who
neglects to effect the said cancellation may, upon a simple action in the Petty
Debts Court, be ordered to effect the same.
CONVENTIONAL HYPOTHECS
DES HYPOTHEQUES CONVENTIONNELLES.
17
Conventional hypothecs are those which result from the agreements and mutual
consent of the parties. No such hypothec may, on pain of nullity, be
constituted, consented, or created other than by contract passed before the
Court in authentic form, and duly registered.
17
18.
Conventional hypothecs may only be constituted or created by persons capable of
alienating the hereditaments which are to be subject to the hypothec concerned.
18
biens-fonds qu’ils y soumettent.
19
(1) Conventional hypothecs are of two kinds
- ground hypothecs and simple hypothecs. A ground hypothec is one which
results from the constitution or creation of perpetual rentes or of life
annuities. The hypothec is imprescriptible, and lasts as long as the rente
or annuity itself has not been extinguished by prescription or otherwise.
A simple hypothec is one which is constituted or created for a money
consideration which is certain and determinate, reimbursable according to the
agreement of the parties in one or more instalments, with or without interest,
and payable on demand by the creditor in the absence of any express covenant in
this respect, or at the expiration of the period or periods stipulated in the
contract which establishes the hypothec: which periods shall in no case exceed
30 years from the date of such contract. A simple hypothec is liable to
be barred by prescription under the provisions of Article 29.
19
l’Article 29.
(2) Notwithstanding paragraph (1), the
amount of a claim secured by a simple hypothec may be calculated by reference
to the value from time to time, or percentage of the value from time to time,
of one or more particular bien-fonds of the debtor.
(3) Any agreement contrary to this
Article is void.
(3) Toute convention
contraire à cet Article est nulle.
20
Except in the case provided for by Article 25, the owner of a new rente,
whether perpetual or for life, may not require the reimbursement thereof.
Life annuities shall not be redeemable unless there is an express covenant to
that effect in the contract constituting the same; but every perpetual new rente,
as well as every sum of money which is the subject of a simple conventional
hypothec, shall be redeemable by the debtor at any time, in the absence of an
express stipulation in that respect, or after the period which shall have been
stated in the contract constituting such rente or hypothec, and which
shall in no case exceed 20 years from the date of such contract. Any
stipulation or covenant contrary to this Article shall be null and void.
20
21
Every conventional hypothec, whether in the nature of a ground-hypothec or a
simple one, shall be created or constituted either -
(a) on
a special and defined corporeal hereditament; or
(b) on
an incorporeal hereditament within the meaning of the Loi (1996) sur
l’hypothèque des biens-fonds incorporels,
which, in either
case, shall alone be charged therewith. Where the rente or
hypothecated sum of money is constituted as the purchase price or part of the
purchase price of an hereditament, such hereditament shall alone be subject to
such hypothec. Whenever a person wishes to create a conventional
hypothec, either as security for a rente or for a sum of money, on one
or more hereditaments, which are to remain the property of such person, the
contract creating the hypothec shall set out the description of each of the
corporeal hereditaments charged therewith, the respective situation of each
with its limits and boundaries, the surface area of the ground so charged,
inclusive of the site of houses and buildings, and the title by which the
property is held. If the hypothec is established on more than one
distinct corporeal hereditaments, the contract shall also set forth the part or
proportion of the rente or hypothecated sum of money, which is to be
specially borne by each hereditament. In case of liquidation, the
hypothec shall bear indivisibly upon all and every one and upon every part of the
encumbered hereditaments among the property in liquidation; nevertheless, in
case of the disposal of any one of the separate corporeal hereditaments so
encumbered or of any portion thereof, the right of following such property into
the hands of successors in title shall not be exercised by the secured creditor
except in respect of the part or proportion only of the rente or
hypothecated sum of money with which the said corporeal hereditament shall have
been specially charged, as aforesaid; and, in case of the dégrèvement of
a sum or of any part thereof, the creditor shall only be entitled to claim for
such proportion or portion of the said rente or hypothecated sum of
money. Corporeal hereditaments of the nature of ancient property, those
accruing from a tenancy after décret which the owner shall have accepted
since the coming into force of this Law, and those of the nature of new
property, shall - unless they are so united and incorporated together as to be
capable of constituting one lot within the meaning of Article 66 - be
hypothecated distinctly and separately, or otherwise such hypothec shall be
restricted to whichever of the corporeal hereditaments subjected thereto has
the greater value - as assessed by valuers, if necessary. If two or more
corporeal hereditaments are disposed of by one contract, such contract
shall set forth distinctly the price of each corporeal hereditament,
and the rentes, charges, encumbrances, and servitudes to which each of
them is respectively subject, in the same manner as if they had been sold by
distinct contracts.
21
Toute hypothèque conventionnelle,
foncière ou simple, devra être créée ou
constituée soit -
(a)
21A
For the purposes of Article 21, the description of an hereditament -
(a)
in the case of a lot within the meaning of the Loi (1991) sur
la copropriété des immeubles bâtis, need only state how the ownership of
the property has been divided in compliance with Article 3(2) of that Law;
(b)
in the case of an incorporeal hereditament within the meaning of the Loi
(1996) sur l’hypothèque des biens-fonds incorporels, need only state the
period of the relevant lease, the precise identification of the premises, as
well as the derivation (provenance) of the title.
21A
Dans
(a)
s’il s’agit d’un lot dans le sens de la Loi (1991) sur la copropriété des
immeubles bâtis, devra seulement énoncer l’état descriptif de division relatif
audit lot conformément à l’Article 3(2) de ladite Loi;
(b)
22
Conventional hypothecs shall bear the date of the day of the passing before the
Royal Court of the contracts which establish the same, provided such contracts
have been duly registered.
22
23
No sale or other voluntary transfer inter vivos of the title to a rente
or other claim involving a conventional hypothec, shall be valid unless
effected by means of a contract passed before the Royal Court, and duly
registered. Such contract shall set out the date of the contract by which
the hypothec was originally established, and the names of the persons who were
parties thereto. The same rule shall apply to the extinction of
conventional hypothecs by mutual consent of the interested parties, and to any
voluntary surrender thereof by the creditor or other party entitled thereto.
23
24
Repealed
25
If for any reason a conventional hypothec, whether a ground-hypothec or a
simple hypothec, ceases in whole or in part to be secured upon any given hereditament,
the payment or reimbursement of the rente, if it is a perpetual rente,
or of the hypothecated moneys, or of the part thereof remaining unsecured,
shall forthwith become due, notwithstanding any stipulation to the contrary in
the contract creating the hypothec. If the rente is for life only,
a rente or annuity of the same value shall be substituted in lieu
thereof; and if the owner requires it, such substituted annuity shall be a
British Government annuity. The same shall apply if the hypothec is transferred
from the hereditament originally charged with it to another without the formal
consent of the secured creditor, expressed by contract passed before the Royal
Court, and duly registered.
25
26
The holder of a legal, judicial or conventional hypothec, charged on a
hereditament in the hands of a successor in title, shall not, unless the
successor in title is bound expressly by his or her title to the
property to discharge the liability of the principal debtor, take any
proceedings against the successor in title for payment of the sum of
money or the rente so hypothecated until the assets of the
principal debtor have been exhausted.
26
27
All new rentes, or monies secured by conventional hypothecs created or
constituted under this Law, shall be deemed to be immovables.
27
28
All hypothecs existing prior to this Law shall remain valid after it comes into
force, provided that the requirements of the old law for to their validity have
been complied with; and they shall remain in force and produce the same legal
effects as were attributable to them by the old law, in relation to all acts
hereditary and personal, and contracts entered into and passed by the indebted
parties, and in relation to property which the latter owned on the day on which
this Law came into force. Nevertheless, subject to the exceptions
contained in this Law, such hypothecs shall not confer upon the holders thereof
any rights whatsoever with regard to any property howsoever acquired by
indebted parties on the said day or thereafter.
28
29
Legal, judicial or conventional hypothecs constituted under the present Law
shall remain in force until the debts or obligations which they secure become
extinct, not only as regards every part of the hypothecated property for the
proportion of the rente or hypothecated claim with which such part is
specially charged, but also as against every debtor of the property charged,
for such portion of the rente or claim as that debtor is personally
liable to pay; but such hypothecs, except conventional hypothecs landed or
simple, are subject to prescription in so far as the right of following the
hypothecated property into the hands of a successor in title is concerned,
notwithstanding that the debt or hypothecated claim may not be extinct.
As
regards the right of action against successors in title –
(a)
a judicial hypothec resulting from a simple
acknowledgement of a debt shall be prescribed at the expiration of 30 years or
more after the date it was created provided that it was created either –
(i)
on or after the date of commencement of the
Loi (201-) (Amendement No. 6) sur la propriété foncière, or
(ii)
in the 10 year period immediately before
the commencement of that Law;
(b)
all other judicial and legal hypothecs shall be prescribed
at the expiration of 10 years or more after the date the hypothec was created,
with the exception of –
(i)
a legal hypothec for dower, and
(ii) a hypothec by virtue of the
Social Security Hypothecs (Jersey) Law 2014.
With regard to the
hypothec of dower, such right of action is extinguished only by the death of
the surviving spouse.
29
(a) l’hypothèque
Loi;
(b)
(i)
l’hypothèque légale de douaire, et
(ii)
RENTES
DES RENTES
30
All perpetual rentes, created, consented, or constituted under this Law,
shall be established in pounds sterling, British currency, of rente,
payable on 31st December in each year, payable or redeemable in such
sums as the parties to the contract which establishes the rente may
stipulate. Unless otherwise stipulated, they shall be payable or
redeemable in sums of not less than £5 of rente, or in one sum, if the rente
does not exceed £5 in value. Parties may not create, constitute or
consent, or apportion, divide, or redeem the same in such a manner as to leave
any fraction of one pound sterling of rente: otherwise - where the rente
holder has so sub-divided the rente, the debtor will be released from
the payment of such fraction; or - where the debtor does so, the rente
will become immediately reimbursable.
30
31
All new perpetual rentes shall be redeemable at the price stated in the
contract which creates them, or, if no price is agreed upon, at the rate of £20
for each pound sterling of rente.
31
32
Every new life annuity shall be created or constituted in pounds Sterling,
British currency, and shall be payable at the time and in the manner agreed
upon in the contract which sets up the annuity. The annuity cannot
lawfully be sold, transferred, or charged by the person in whose favour it has
been created or constituted, unless the said contract contains express
stipulations to that effect.
32
33
Every new rente, whether perpetual or for life, constituted in
consideration or in part consideration of the sale of any hereditament, shall,
as a matter of course, and without any express stipulation to that effect being
required, carry a ground hypothec in favour of the vendor and his or her heirs
on the hereditament sold: which hypothec shall bear the date of the contract of
sale, provided the contract has been duly registered. But when the
purchase price has been stipulated wholly or partly in money, the price or part
thereof shall not carry any hypothec on the property disposed of by virtue of
the contract of sale, unless an express stipulation to that effect is contained
in the said contract.
33
34
The most recent purchaser or holder of a new rente shall, in all
respects, be substituted in right, place and stead of the original owner.
He or she shall be entitled to the ground-hypothec on the hereditament charged
and to all the guarantees which may have successively been granted in respect
of such rente by those through whose hands it has passed.
34
35
The reimbursement of a new rente or hypothecated sum of money made to
the existing owner shall have effect to cancel completely all the guarantees
attached to it, the rente or hypothecated sum itself and the hypothec
attached thereto, save as provided by Article 45.
35
36
Old rentes, whether perpetual, redeemable, or for life, shall be of the
same nature and subject to the same rules in all respects as prior to this Law,
with regard to any act or contract either hereditary or of hypothecation made
or entered into, or to any hypothec obtained, before the day on which this Law
comes into force. However, as from that day, although still retaining the
character of immovables, such rentes shall no longer be able to be
hypothecated or followed into the hands of successors in title by right of
hypothec - subject to the exception resulting from Article 49. Any
stipulation contrary to this Article shall be null and void.
36
Toute stipulation contraire à cet Article sera
nulle.
37
Save as provided otherwise in Article 41, from the day on which this Law comes
into force, the debtor of an old perpetual rente may, on 3 months’ prior
notice, require the owner of the same to accept its reimbursement at the price
specified in this Article, according to the type of rente.
37
The price of
redeeming old rentes is as follows -
1. For rentes
payable in kind, at the rate of £24, British money, per quarter of wheat rente;
and as follows: rye, beans, peas, and mixed corn at the same rate as wheat:
barley at five sixths, and oats at three-fourths, or the price of wheat: and for
other rentes as follows: a goose at the rate of £6: a capon at £5: a hen
at £2.50: a chicken at £1.25: eggs at 10p each: pepper at 10p per ounce: a loaf
of bread at 25p: a conger of standard size at £1.25: a quarter of apples at
£10: a quarter of ashes at £5: and for other rentes payable in mind and
not hereinbefore specified at 25 years’ purchase.
1.
ne sont pas spécifiées ci-dessus, au dernier 25;
2. For rentes
payable in money: at the rate of £18 per quarter of wheat rente
assignable.
2.
rente assignable.
And for ground rentes
and other rentes, at the rate of £1 for every livre, old French
currency, payable annually in discharge or said rente.
These prices shall
be payable in full to the owner of the rente, with the arrears paid
pro-rata to the time to the day of reimbursement: all costs of such
reimbursement to be at the expense of the reimbursing party, when reimbursement
is by consent.
If the owner
refuses to accept the reimbursement of an old rente, he or she may be
compelled to do so by action in the Royal Court. The parties, either in
their presence or on the first default of the defendant, shall be sent before
the Viscount to ascertain the value and effect payment of the rente.
The Court shall determine at the same time the place, day and time for the
parties to appear before the Viscount for this purpose; and if the parties are
present in Court they shall be so ordered to appear. If the reimbursement
is effected, the Viscount shall record the same at the foot of an authentic
copy of the Act of Court sending the parties before him. This document
shall afterwards be delivered to the Registrar of Contracts, who shall register
it in the Book of Contracts of the Public Registry, and shall certify on the
said document, at the foot of the Viscount’s return, the registration thereof,
and the book and folio of the Register in which such registration is
made. If either of the parties does not appear before the Viscount at the
appointed time, the Viscount shall give a record thereof to the party who is
present. The action may be proceeded with at the instance of either of
the parties, and when it comes again for hearing before the Court, if the party
seeking to effect reimbursement fails to appear, the Court shall annul all the
proceedings obtained at the instance of that party, and condemn him or her to
pay the costs of the other party. If the owner of the rente fails
to appear, the Court shall order the money for the reimbursement of the rente
to be deposited in the hands of the Greffier. When such deposit shall
have been made with the Greffier, he or she shall certify at the foot of an
authentic copy of the Act of Court that such deposit has been made; and this
document shall afterwards be delivered to the Registrar of Contracts, who shall
enter it in the Book of Contracts of the Public Registry in accordance with the
requirements of this Article in relation to the document which attests a
reimbursement before the Viscount. If the parties appear, the Court,
after hearing them, shall make such order in the matter as it thinks fit.
The Court shall have the power, if it appears equitable to the Court to do so,
to order the owner of the rente to pay the whole or part of the costs of
the action.
Si
The same process
shall be followed for the compulsory reimbursement of a rente or of a
sum of money secured by a conventional hypothec, created or constituted under
this Law.
Old rentes
shall be reimbursable as follows: Rentes payable in kind and ground rentes,
in one sum; rentes assignables, when less than 6 quarters of rente,
in one sum; when amounting to 6 quarters or more, they shall be reimbursable in
sums of not less than 3 quarters.
quartiers.
The judgment of the
Inferior Number of the Royal Court in actions for reimbursement of rentes
or conventional hypothecs, shall be final and without appeal. The entry
in the Public Registry of the Act of Court, with the return of the Viscount or
of the Greffier certifying the reimbursement or the deposit of the price, as
the case may be, of a rente or conventional hypothec shall give to the
reimbursing party good title to the rente or hypothec.
Contracts or deeds
of redemption of old rentes shall not be liable to insertion in any décret,
when the redemption money, calculated at the rates set out in this Article,
shall not exceed £7.50; and the rentes so redeemed shall be permanently
extinguished.
Les
calculé aux taux établis par cet Article, ne dépassera pas la somme de £7.50p;
38
The reimbursement of an old rente shall have the effect of substituting
the reimbursing party in the right place, and stead, in all respects, of the
person reimbursed, but without any guarantee or warranty on the part of the
person so reimbursed.
38
39
The most recent purchaser of an old rente after the coming into force of
this Law shall be substituted in all respects in the right, place, and stead of
the person who first became the owner of it. He or she shall be entitled
to all guarantees given or consented, with respect to the said rente, after
this Law comes into force.
39
40
The owner of a new perpetual rente shall not be required to accept the
assignment thereof. Any person who accepts the assignment of a new rente
in discharge of a rente due to him or her shall be deemed to have been
reimbursed of the latter, and to have purchased that which is assigned to him
or her; and any person who assigns a new rente in discharge of that
which he or she owes shall be deemed to have reimbursed that which he or she
owed, and to have sold that which he or she assigns. An exchange and
counter-exchange of new rentes shall have the effect of placing the
parties to the transaction in the same position as if each had purchased from
the other the rente received in exchange. Old rentes shall
continue to be assignable as before, save that assignments of such rentes
shall, as regards guarantees attached to them, be governed by the provisions of
Article 44. When an old rente has been assigned in discharge of an
old rente, the loss of the rente so assigned shall have the same
effect as under the old Law; and it shall be lawful for the assignor or his or
her heirs to pay the said rente or to replace it. But if an old rente
is assigned in payment of the price or part of the price for the hereditary
purchase of an hereditament under this Law, then, in the event of the loss of
the rente so assigned, the assignor or his or her heirs may elect either
to reimburse the rente or to replace it. It is expressly forbidden
to create, constitute, or consent to any rents otherwise than in accordance
with the provisions of Article 30.
40
41
The following ancient perpetual rentes shall not be redeemable -
1. the rentes,
payable in kind, due to His Majesty’s Ancient Domain.
41
Les anciennes rentes perpétuelles suivantes ne seront
point remboursables -
42 Repealed
43
When the reversionary ownership of an old rente or of a new rente
or conventional hypothec, and the usufruct - either by right of dower or of viduité
or by any other title - belongs to two different persons, the person entitled
to the usufruct shall, in case of reimbursement, be made a party to the
contract or to the action for reimbursement; and the entry in the Public
Register of the said contract or of the judgment rendered in the said action
shall confer upon the usufructuary, as security for what may be found due to
him or her by the owner, a ground-hypothec on all the hereditaments belonging
to the said owner, the date of the hypothec being that of the said contract or
of the said judgment. If the reversionary owner does not own sufficient
property in Jersey capable of being hypothecated, the Court, unless he or she
can give proper security, shall have the power to order the reinvestment of the
reimbursement price and its lodgement with the Treasurer of the States until
such reinvestment has been effected.
43
GUARANTEES
DES GARANTIES
44
Apart from the exceptions resulting from Article 49, no guarantees in
matters real which may be stipulated or which may arise after this Law has come
into force, shall confer a hypothec on the property of the guarantor, any
covenant to the contrary notwithstanding. Nevertheless, an action in
guarantee may give rise to a judicial hypothec, provided that the requirements
of this Law with respect to hypothecs of that type have been complied
with. Except in the case of guarantees for the alienation of immovables
which in the hands of the vendor rank as old property, or in the case of those
given on account of the assignment of old rentes - which guarantees are
perpetual - the right of action in guarantee shall be barred by the lapse of 30
years from the day when the guarantee was stipulated or arose, inclusive of
that day.
44
45
The purchaser of an hereditament, whether or not any guarantee has been
stipulated by the vendor, shall have the following rights and privileges -
1. in the event of
dispossession, or of abandonment -
45
1.
en cas d’éviction ou de délaissement -
(a)
a right of recourse in guarantee against the vendor if the latter has not
renounced or made cession - for any sums of money which he or she may have paid
or reimbursed to the vendor or which he or she may have paid or reimbursed on
the vendor’s behalf: except those mentioned in the following paragraph -
(a)
(b)
if he or she has assigned old rentes due on the hereditament or if he or
she has reimbursed rentes or hypothecs which he or she was required by
the contract of purchase to pay, and which the tenant or other person
who has become the new owner of the hereditament sold, or to whose property the
hereditament has reverted in consequence of the dispossession or abandonment,
would have had to pay had he or she not been reimbursed, such rentes and
hypothecated sums with the hypothecs attached to them, shall revive for his or
her benefit on the hereditament, but without the right to claim guarantees for
the rentes and other conventional hypothecs so revived;
(b)
hypothèques conventionnelles qui revivront ainsi à son profit;
(c)
he or she shall be discharged from the payment of all rentes, hypothecs,
and sums of money, which he or she may have agreed or stipulated as the
purchase price of the hereditament, and which he or she has not reimbursed or
paid off at the time of the dispossession or abandonment - except the arrears
of rentes due to persons other than the vendor himself or herself and
which were due at the time of the dispossession or abandonment.
Nevertheless, he or she shall remain responsible for any rente or other
hypothec which he or she may create on the said hereditament whilst owner
thereof;
(c)
pu créer sur ledit bien-fonds pendant qu’il en aura été le propriétaire;
2. in the event of the
purchaser electing to retain ownership and possession of the hereditament under
Article 50, when the hereditament is claimed by a tenant or other person
after or in consequence of a décret or dégrèvement, the purchaser
shall have the rights and privileges set out in paragraphs (a) and (c) of this
Article.
Article;
3. if the purchaser
elects under the said Article 50 to pay off the hypothecary creditor who wishes
to proceed against the hereditament by action in hypothec, the purchaser shall
have, for the reimbursement of what he or she has paid to that effect in
principal, interest, and costs, right of recourse in guarantee against the
vendor - provided the latter has not made cession in the period between the
sale and the claim for the guarantee; and he or she shall have, as security for
such reimbursement, a special privilege on any rentes or other
conventional hypothecs which he or she has agreed as the price for the purchase
of the hereditament, and which are in the possession of the vendor at the time
of the cession or renunciation which gave rise to the hypothecary action.
When the sale has
been made with an express stipulation that the vendor shall not be liable to
make good any loss or to guarantee title, the purchaser shall not have any
recourse in guarantee against the vendor; but shall enjoy the other rights and
privileges mentioned in this Article, as the case may be. A donee or a
legatee shall be assimilated to a purchaser sans fourniture ni garantie.
Lorsque
46
Guarantees in existence before the coming into force of this Law, shall have
the same status and legal effects (in all respects) as before - as regards all
transactions in immovables made or entered into prior to this Law and all
property of which guarantors had a vested right before the day on which this
Law comes into force; but such guarantees shall not confer any hypothec upon
any property of which the said guarantors become owners on or after that day,
except when the same shall become due, to the extent and on the conditions set
out in Article 44, relating to new guarantees.
46

Articles 5, 8, 9, 10, 11, 12, 13 and 45.
48
49
In addition to the contracts and other documents predating this Law, which,
under the former Law, were liable to insertion in a décret: the
following contracts and documents, which arise under this Law, shall be liable
to insertion in case of a décret -
49
1. every contract of sale
by the insolvent of immovables which he or she owned prior to this Law.
The words “contract of sale of immovables” include every contract by which the
insolvent has accepted the reimbursement of an old rente, or by which he
or she has accepted the assignment of a rente in discharge of an old rente
due to him or her or by which he or she has assigned an old rente in
discharge of a rente owed, provided that such old rentes were
owned by him or her prior to the coming into force of this Law;
anciennes rentes fussent sa propriété avant la présente Loi;
2. every contract of creation
by the insolvent of rentes or conventional hypothecs on those of his or
her hereditaments which, at the time of such creation ranked in his or her
hands as old property;
mains la qualité de propriété ancienne;

sale by him or her of hereditaments ranking in his or her hands as old

propriété ancienne;
4. every act of Court by
which the insolvent has accepted or been held liable to accept the

Failure to insert
in a décret the documents referred to in paragraphs 5 and 6 of this
Article, or renunciation of the said documents after insertion, shall have the
effect of freeing the property included in the décret from all non-inserted,
or renounced claims, but shall not prevent the entitled parties from
participating as unsecured creditors in the distribution of the remaining
property, if any, of the debtor undergoing liquidation.
L’omission
50
As from the coming into force of this Law, a holder in good faith of an
hereditament or of a servitude on land - whether in perpetuity or for a term of
years exceeding 9 years, or for one or more lives, or for any other term the
duration of which is conditional or contingent - by virtue of a contract passed
before the Royal Court (and which is not voidable for want of proper form, or
from any other cause), shall not be dispossessed thereof against his or her
will by virtue or in consequence of a liquidation, décret, or dégrèvement;
but in spite of the said contract being absolutely void in consequence of the décret
or dégrèvement, he or she shall be at liberty to retain the ownership
thereof in accordance with his or her title and the possession thereof on the
following conditions -
50
suite, ou en conséquence d’une liquidation, d’un décret, ou d’un dégrèvement;
1. where a tenant
or other person claims possession, after or in consequence of a décret or
dégrèvement: on condition of paying to the said tenant or other
person, in perpetual rentes, in simple hypothecs, or in money, at the
option of the said holder - or on proving that he or she has paid or has
reimbursed, for the benefit of the said tenant or other person - rentes
and hypothecs or other charges due on the said hereditament, to the amount of
the value of the said hereditament, ascertained by valuation either at the time
of purchase, or at the present time;
1. si
moment actuel;
2. where an hypothecary
creditor wishes to exercise his or her right of recourse against the
hereditament, by virtue of his or her right of action in hypothec: on condition
of paying off the claim of the said creditor, to the amount of the balance outstanding
on the value of the said hereditament, after deducting the rentes and
hypothecs prior in date to that of the claimant - such value being ascertained
in the manner prescribed by the preceding paragraph.
2. si
51
The valuations referred to in the preceding Article shall be carried out in
such manner as the Royal Court may determine from time to time.
51

53
A tenant après décret, whatever the date of the insertion on
which he or she accepted becoming tenant, shall have, as respects
contacts passed by the insolvent prior to the present Law, as well as respects
contracts passed subsequently, which were liable to insertion in the décret,
all rights of option and other rights conferred on a tenant under the
old Law. Nevertheless, no person who becomes tenant on the
resumption of a décret in circumstances provided by Article 34 of the Loi
(1832) sur les Décrets shall on any ground - by virtue of a right of
option accorded to a tenant by Article 43 of the said Law - cause to be
revived any contract passed by the insolvent which, having been renounced in
the décret or in a resumption of the décret, was void as regards
the tenant immediately preceding, in consequence of the failure of that
or any preceding tenant to revive the contract within the time
prescribed by law. He or she shall be able only to revive those contracts
which, being in force immediately before the resumption of the décret in
which he or she has been constituted tenant, have been renounced in the
course of the said resumption.
53
54
Where a décret is resumed by virtue of Article 34 of the Loi
(1832) sur les Décrets, the Attorney shall summons to appear before the
Greffier, for the purposes of the said Article - in addition to the inserting
parties therein mentioned - all persons whose contracts passed with the
insolvent and having been revived by means of an option, are good and valid at
the time of the resumption of the décret, and also all persons who have
entered into or passed with the last tenant any acts or contracts liable
to insertion in a décret with reference to the immovables comprised in
the tenancy, in order that they may renounce their said contracts or acts, or
make themselves tenants to the property en décret. The
Attorney, 4 days at least before the day appointed for the appearance of the
inserting parties in the resumption of the décret, shall deliver a list
of the persons thus summoned, together with the description and date of their
respective contracts, to the Greffier, who shall enter in the codement
of the décret the said contracts according to their dates, beginning
with the most recent, and, when calling the décret, he or she shall call
the said persons in the order of entry of their said contracts.
54
contrats.

91
As soon as the Attorney has obtained permission to proceed with the dégrèvement
of an hereditament, either following a liquidation or in the absence of
a prior liquidation, the Attorney shall apply to the Greffier to fix a
day for the said dégrèvement, which shall not be less than 4 nor more
than 6 weeks after the date of the act granting the said permission. In
all cases, the dégrèvement of each corporeal hereditament shall be
carried out separately.
91
92
The Attorney shall cause to be inserted on 2 Saturdays in 4 newspapers, 2 of
them in French and two of them English, an advertisement describing the
hereditament or hereditaments en dégrèvement, and giving notice of the
day and hour fixed for each dégrèvement respectively; and the Attorney
shall summons through the intermediary of the Viscount the following persons
personally or at their addresses 4 full days at least before the day on which
their appearance is required, namely -
92
savoir -
1. if the hereditament en
dégrèvement has not been parcelled out or divided since the insolvent
purchased it -
All persons who
have passed with the insolvent, under the provisions of this Law, contracts
relating to the hereditament en dégrèvement, or who have obtained
against the insolvent legal or judicial hypothecs, specially attached to the
said hereditament, which have not been wholly paid off upon the distribution of
the insolvent’s estate - as well as existing third party holders of any rente
or conventional hypothec created or consented by the insolvent on the said
hereditament, within the said period - and the surviving spouse of the
insolvent, if he or she has right of dower on the hereditament en
dégrèvement.
1.
dégrèvement;
2. if the hereditament en
dégrèvement is the remainder of a corporeal hereditament part of which the
insolvent has alienated at one or more times -
then the Attorney
shall summon all persons who have passed with the insolvent, under the
provisions of this Law, contracts relating to the said corporeal hereditament
or any part thereof (including the hereditament en dégrèvement) or who
have obtained against the insolvent legal or judicial hypothecs specially
attached to the said corporeal hereditament or any part thereof, which have not
been wholly paid off at the distribution of the insolvent’s estate - as well as
existing third party holders of any part of the said corporeal hereditament and
any rentes and conventional hypothecs constituted, created or consented
by the insolvent on the said corporeal hereditament or any part thereof within
the said period - and the surviving spouse of the insolvent if he or she has
right of dower on the hereditament en dégrèvement or on any part
thereof;
2.

Actioning them to
appear before the Greffier on the day fixed for the dégrèvement, to
accept, in their order, the tenancy of the hereditament or to renounce their
several contracts and hypothecs. The unsecured creditors of the insolvent
shall be at liberty to insert their unpaid claims in every dégrèvement
of the insolvent’s property. For this purpose they must, 8 days at least
before the day fixed for the dégrèvement, deliver to the Greffier an
account or memorandum of their several claims, with supporting documents, if
any. The cost of these insertions shall be borne by those making them.
93
Eight days at least before the day fixed for the dégrèvement, the
Attorney shall deliver to the Greffier a list of the names of those persons
whom the Attorney has summoned by virtue of Article 92, indicating the date and
nature of the contracts or other documents establishing hypothecs on the
property en dégrèvement or on the corporeal hereditament of which the
property forms part, by reason of which the summonses were sent. The
Greffier shall prepare a Register or Codement of the said contracts and
documents, as well as of the unsecured debts which have been sent to the
Greffier for insertion, for use in the dégrèvement. This Register
or Codement shall be drawn up according to the form laid down in Article
35 of the Loi (1832) sur les Décrets. Existing third
holders of corporeal hereditaments, rentes, and conventional hypothecs,
who have had not transacted directly with the insolvent, shall be collocated in
the said Register or Codement under the date of the contracts by virtue
of which the persons in whose right they severally are, have become, in
transacting with the insolvent himself or herself, owners of the said corporeal
hereditaments, rentes, or hypothecs, and they shall rank in order
immediately after the said persons. If the person in whose right they
are, fails to appear or, when called in his or her turn, does not accept the
tenancy of the property en dégrèvement, they shall be entitled to accept
the tenancy of the said property on the contract of the said person.
93
94
On the day fixed for the dégrèvement, the Greffier, upon being satisfied
that the various interested parties have been duly summoned to appear, shall
call the names of those parties. Those who, being called in their turn,
fail to appear, or who, being present, refuse to accept the tenancy of the
property en dégrèvement shall be barred from any claim or hypothec on
the said property, and their contracts and other documentary claims shall be
null and void, but without prejudice to the provisions of Articles 50 and 51.
94
95.
Where an interested party or his or her assign accepts as tenant, the
Greffier shall make a record of the tenancy, showing the date of the contract
or other document on which the tenant accepted that status, and
declaring all contracts and hypothecs of an earlier date renounced and of no
effect or value, and obliging the person who has accepted the tenancy to hold
good all contracts, and to pay all rentes and hypothecs, of earlier
date, which relate to the hereditament en dégrèvement.
95
96
The Attorney shall without delay summon the tenant to appear before the
Royal Court, in term or in vacation, to witness confirmation of the tenancy;
and the Court, by its act confirming the tenancy, shall then adjudge to the tenant
the ownership of the property comprising the tenancy, and shall authorise the
Viscount to put the said tenant in possession thereof: and the Attorney
shall cause the said act to be registered in the Public Registry.
96
97
Where, having come to the turn and degree of the person from whom the insolvent
had acquired the corporeal hereditament en dégrèvement or of his or
her heir, that person or the said heir elects to be reinstated therein, the
Greffier shall make a record to that effect, and the Attorney shall cause to be
summoned the person so reinstated to appear before the Royal Court in term or
in vacation, to witness confirmation of the said record of reinstatement; and
the Court, by its act, shall adjudge the possession of the discumbered property
to the person who has elected to be reinstated therein, and shall authorise the
Viscount to put him or her in possession thereof. The act shall be
registered in the Public Registry, at the instance of the Attorney.
97
98
If all the transactions of the insolvent, made under this Law with respect to
the hereditament en dégrèvement, are exhausted without anyone
having accepted the tenancy thereof or reinstatement therein, the Greffier
shall make a record thereof, which the Attorney shall cause to be presented to
the Royal Court without delay. The Court, before proceeding further, shall
order the Attorney to convene before it the person from whom the insolvent had
purchased the hereditament en dégrèvement, or the person’s heirs in
case of his or her decease. Then, in their presence or in default of
appearance, the Court may, if it thinks fit, condemn them to accept
reinstatement in the discumbered property, subject to the charges attached to
it. If the Court decides that this course cannot be adopted then -
98
1. if the property had,
in the hands of the person from whom the insolvent had acquired it, the nature
of old property, the Court shall order a décret on the property subject
to décret of the said person;
1. si
2. if the property en dégrèvement
proceeds from a tenancy après décret which the person from whom
the insolvent had acquired it had accepted under the provisions of this Law,
the Court shall order the resumption of the décret in which the said
person had accepted the tenancy of the said property, in accordance with the
provisions of Article 34 of the Loi (1832) sur les Décrets, and
the provisions of Article 54 of this Law;
3. if the property en dégrèvement
had in the hands of the person from whom the insolvent had acquired it the
nature of new property, the Court shall order that its dégrèvement be
continued, and shall charge and authorise the Attorney to take all necessary
measures to that effect.
99.
The Attorney, having obtained such authorisation, shall cause to be
summoned for the day fixed by the Greffier - in accordance with the provisions
of Article 92 - all persons who have passed, under the aegis of this Law, with
the person from whom the said insolvent had acquired the property en dégrèvement,
contracts relating to the said property or to the corporeal hereditament of
which it forms part, or who have obtained against the said person legal or
judicial hypothecs specially attached to the said property or corporeal
hereditament, as well as third parties holding any portion of the said
corporeal hereditament and any rentes or hypothecs constituted, created,
or consented on the said corporeal hereditament or any portion thereof:
actioning them to appear before the Greffier on the day fixed by him or her, to
accept the tenancy of the property en dégrèvement or to renounce
their several contracts or hypothecs. In continuing the process of dégrèvement
the Attorney and the Greffier shall act in conformity, moreover, to the terms
of Article 93, 94, 95, 96, 97 and 98; and if it becomes necessary to pursue the
dégrèvement still further, the Court shall be guided by the provisions
of the said Article 98.
99
98.
100
A person summoned to appear before the Greffier in a dégrèvement, who
has a guarantor or surety furnished by the insolvent or other person whose
property is en dégrèvement, or who has a partner or co-heir, shall be
required - in order to conserve his or her rights against them - to summon them
to appear at the dégrèvement; and their presence or absence shall be
noted in the Greffier’s record. It will be sufficient for the summons to
be served at least 2 days before the day on which appearance is required.
If the person who has a guarantor or a surety renounces his or her contract or
claim, while retaining recourse against his or her guarantor or surety, the
guarantor or surety may constitute himself or herself tenant of the
property en dégrèvement, in the right, place, and stead of the
person guaranteed or secured. If there are third-party holders collocated
under the date of the same contract, the guarantor or surety must be called
upon before them to speak and act in the dégrèvement. It shall not
be necessary to summon guarantors, sureties, partners or co-heirs in a liquidation.
100
101
A tenant après dégrèvement:
The person
reinstated in the possession of an hereditament in consequence of a décret
or a dégrèvement:
Guarantors or sureties liable as a result of a décret or dégrèvement:
Shall not be
required to pay more than 3 years’ arrears of rente and interest on
hypothecated amounts bearing interest due at the date of the act of the Court
ordering the liquidation which led to the décret or dégrèvement
or ordering the décret or dégrèvement if they take place without
a previous liquidation.
101

Every hypothecary action shall be instituted against the third party holding
the encumbered hereditament or any part thereof, in the Royal Court, by means
of an Order of Justice in term or in vacation within a year and a day of the
close of the liquidation, the décret, or the dégrèvement
giving rise thereto. If the encumbered hereditament is held by several
third parties, they may all be included in the same action. The third
party who is actioned may retain the encumbered hereditament on the conditions
laid down in Article 50 and 51, or may surrender it. In case of surrender,
if the person who surrenders did not purchase the surrendered hereditament
directly from the insolvent, the Court shall order in the first place that the
intermediate proprietors be summoned to appear before it, in order that, in
their order, they may elect to be reinstated in the possession of the
surrendered hereditament, or to renounce it. If they renounce it, or when
the encumbered hereditament has been purchased by the person surrendering it
from the insolvent directly, the Court shall, if the surrendered hereditament
ranked as new property in the insolvent’s hands, order a liquidation,
or, if the Court deems it expedient, an immediate dégrèvement of the
surrendered hereditament; and shall by its act authorise the
Judge-Commissioner, the Greffier, and the Attorney who conducted the
insolvent’s liquidation, to take respectively, all necessary steps for
that purpose. When a liquidation is ordered by virtue of this
Article, the same procedure shall be followed as set out in this Law for the
purpose of liquidation, with the exception of the part relating to the
proving of debts, the dividing up of immovables, and the collocation of
creditors. A statement of the lots: and the conditions of sale of the
property en liquidation: a statement of the charges, rentes, and
hypothecs not subject to collocation, ranked according to their order: shall be
drawn up by the Attorney, and submitted to the Judge-Commissioner for his or
her approval.
104
If the surrendered
hereditament was of the nature of old property in the hands of the insolvent,
the Court in its discretion shall order the liquidation of the said
hereditament, or a décret on such of the insolvent’s hereditaments as
are liable to décret.
Si
105

under this Law is required to be served, the Attorney shall summon that person
by means of an advertisement published on 2 consecutive Saturdays at least, in those
newspapers in which advertisements or notices have appeared concerning the same
bankruptcy proceedings.
105

106

to revise and modify such Tariff as often as it shall deem it necessary.
This Tariff shall be signed by the Bailiff, and shall remain deposited at the
Greffe; and, before it can take effect, a copy thereof, duly certified by the
Greffier of the said Court, shall be posted for a period of at least 15 days in
the Vestibule of the Royal Court. The same formalities shall be observed
in every respect whenever any addition or modification is made to the said
Tariff. The provisions of this Article shall not affect the right of the
Court to decide all questions in respect of such costs and expenses which may
arise before the promulgation of a tariff, or which are not foreseen and
determined by the Tariff in force.
106
107
This Law shall come into force at the end of 6 months from the day of the
registration of the Order in Council confirming the same.
